General Terms and Conditions

1. Scope of Application

These General Terms and Conditions (“GTC”) apply to all services and business relationships between Bi-Bala Services GmbH (“Bi-Bala”, “we”) and its clients (“Client”, “you”).

Any differing conditions of the Client shall apply only if Bi-Bala expressly agrees to them in writing.

2. Services

Bi-Bala provides consulting and related services.

The nature, scope, duration, and prices of the services are defined in the respective offer, contract, or written agreement.

3. Client’s Obligations to Cooperate

The Client undertakes to:

• provide necessary information and documents in a timely manner
• provide accurate and complete information
• cooperate appropriately

Bi-Bala shall not be liable for delays or limitations of performance resulting from missing or late information.

4. Prices and Payment Terms

Remuneration is based on the agreed offer or contract.

Unless otherwise agreed:

• invoices are payable within 14 days
• prices are stated in CHF (unless otherwise specified)
• Bi-Bala may require advance payments for certain services

In the event of late payment, reminder fees and default interest may be charged in accordance with Swiss law.

5. Cancellation / Termination

For services with a fixed date (e.g., meetings, consulting sessions), cancellations must be communicated in writing.

Depending on the preparation effort and reserved time, Bi-Bala reserves the right to charge an appropriate cancellation fee.

Ongoing agreements may be terminated in accordance with the contract or, if not regulated, with reasonable notice.

6. Liability

Bi-Bala performs its services with due care.

Bi-Bala shall be liable only for damages caused intentionally or by gross negligence, to the extent permitted by law.

Bi-Bala shall not be liable for:

• indirect damages
• loss of profit
• business interruptions
• claims by third parties

7. Confidentiality

Both parties undertake to treat all confidential information obtained in the course of cooperation as confidential, unless there is a legal obligation to disclose it.

8. Copyright / Usage Rights

Unless otherwise agreed, all concepts, documents, content, and work results remain the intellectual property of Bi-Bala.

The Client receives a non-transferable right of use for internal purposes.

9. Data Protection

Bi-Bala processes personal data in accordance with applicable data protection law and the privacy policy published on the website.

10. Applicable Law and Jurisdiction

These GTC are governed by Swiss law.

To the extent permitted by law, the place of jurisdiction is the registered office of Bi-Bala Services GmbH, Moosseedorf (BE), Switzerland.
